David has more than twenty-five years of experience in commercial real estate transactions, including the acquisition, sale, leasing and financing of commercial property. He has extensive experience representing borrowers and lenders in secured loan transactions. He also represents landlords and tenants regarding leases of property for retail, office, warehouse and telecommunications purposes. David represents C Spire, one of the nation’s largest privately held wireless companies, regarding its telecommunications site leasing, retail leasing and property acquisitions. He also represents the Board of Trustees of the Jackson Public Schools regarding 16th section lease matters. In addition to his real estate practice, David has experience with mergers and acquisitions including transaction negotiation and documentation.

David currently serves as Chairman of the Firm’s Commercial Department, and heads the Firm’s Real Estate Practice Group. He is a Fellow in the American College of Mortgage Attorneys.  He is also recognized by Best Lawyers® in America and Chambers USA in the field of Real Estate Law.


Brunini

Real Estate has been an important part of the Firm’s practice from its inception. The Firm regularly represents clients in purchase and sale transactions, leasing, mortgage financing, development projects, UCC transactions, oil and gas financing, construction, mezzanine financing and timber sales. Recent real estate projects the Firm has handled include transactions involving power plants, telecommunications facilities, office buildings, shopping centers, hospitals, steel plants, shipyards, casinos, barge financing, mezzanine financing, tenant in common financing and the purchase and financing of large blocks of mineral and timber interests. The Firm’s real estate practice also includes expertise in zoning and land use regulation, which is described as a separate practice area. See Zoning and Land Use Regulation. The Real Estate Team is able to draw on the Firm’s expertise in environmental, energy, public finance and taxation matters.

Representative Matters

  • Assisted client in the acquisition of 38,538 acres of timberlands in southeast Georgia. In addition to the real estate acquisition, the transaction included a capital raise from private investors of approximately half of the purchase price and a loan from an institutional lender in a new market tax credit structure of the remainder of the purchase price.
  • Negotiation of commercial real estate acquisitions and dispositions.
  • The Firm served as Mississippi counsel to a national ground freight transporter in connection with a refinancing of secured debt, including securing its real estate assets under a revolving credit facility, tranches of senior secured convertible notes, and deferred pension agreement.
  • Represented Trustmark National Bank in multi-million dollar term loan and line of credit secured by real and personal property.
  • Served as Mississippi counsel to a national department store retailer in connection with bank-syndicated refinancing including securing the company’s Mississippi real estate assets.
    Represented Cellular South, Inc. in the site leasing and retail leasing of its telecommunications operations.
