Pat Smith’s practice emphasizes representation of private parties and public entities in all aspects of complex real estate and commercial transactions, including drafting and negotiating commercial contracts, purchase and sale agreements, leases, landlord-tenant matters, eminent domain, FPPC compliance and trademark matters. Ms. Smith also specializes in matters related to the purchase of railroad property and has successfully negotiated purchase and sale agreements with Union Pacific Railroad and BNSF Railroad. She is also an expert on marketability of title matters and the release of easements associated with railroad property.
Before forming Smith LLP in 2014, Ms. Smith was a partner at Dhillon & Smith. From 1998 to 2013, Ms. Smith was an Attorney in the Office of the General Counsel at the San Francisco Bay Area Rapid Transit District (BART) where, among other things, she drafted and negotiated the Comprehensive Agreement between BART and the Santa Clara Valley Transportation Authority (VTA) for the BART San Jose Extension, provided legal advice in connection with the purchase of the Union Pacific railroad right of way for the San Jose extension, drafted and negotiated the Property Transfer Agreement between BART and VTA for the purchase of Union Pacific railroad right of way for the Warm Springs Extension, drafted and negotiated all manner of construction, utility relocation and funding agreements between BART and various public entities, litigated real estate matters, including quiet title and eminent domain matters, and supervised all legal aspects of environmental review for several BART Extension Projects.
Prior to her work at BART, Ms. Smith maintained a securities and construction litigation practice with the firms of Pettit & Martin; Keesal, Young & Logan; and Morgan, Miller & Blair where she defended members of the brokerage community in National Association of Securities Dealers and New York Stock Exchange arbitrations, successfully defended the United States of America in personal injury litigation in Federal Court and successfully defended real estate developers in construction defect cases in Superior Court.
Ms. Smith is a former member of the Alta Bates Summit Foundation, Board of Trustees, and a Co-Founder, East Bay Habitat for Humanity, Board of Trustees. She has been a lecturer at the University of California at Berkeley and has served as a faculty member of the Intensive Advocacy Program at the University of San Francisco School of Law. Ms. Smith was admitted to practice law in California in 1987. She received her J.D. degree from the University of San Francisco School of Law where she was a member of the Law Review. Ms. Smith is a member of the Alameda County Bar Association and the State Bar of California
